- Introduction
Vertex Digital Limited is a corporate entity duly incorporated under the laws of Hong Kong, registered under company number 53259519, with its principal office situated at Room 7B, One Capital Place, 18 Luard Road, Wan Chai, Hong Kong.
2. Ownership and Intellectual Property
All content provided through our Services, including but not limited to text, graphics, logos, trademarks, images, audio, video, software, and databases (“Content”), is owned by or licensed to Vertex and is protected by applicable copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to access and use the Services solely for your personal, non-commercial use. You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any Content without our prior written consent.
If you believe that your copyrighted material has been used in a way that constitutes copyright infringement, please report it by contacting us at support@vertexdigitallimited.com. Include all relevant details, such as a description of the copyrighted work, the location of the allegedly infringing material, and your contact information.
3. User Responsibilities
By engaging with our Services, you expressly commit to refraining from any conduct that:
- Constitutes, facilitates, or promotes any illegal, fraudulent, deceptive, or otherwise unethical activities.
- Utilizes automated processes or mechanisms, such as bots, spiders, or scrapers, to access, query, or interact with the Services, except where prior explicit authorization has been granted by Vertex.
- Seeks to compromise, obstruct, or otherwise disrupt the operational integrity, performance, or security mechanisms underpinning the Services.
- Employs the Services as a vehicle for the dissemination of unauthorized or unsolicited commercial communications, including but not limited to spam, phishing attempts, or other disruptive marketing practices.
- Engages in reverse engineering, decompilation, disassembly, or any analogous actions aimed at extracting, analyzing, or replicating the source code or proprietary architecture of any software, algorithms, or systems integral to Vertex’s Services.
- Introduces or transmits content or software designed to harm, disrupt, or corrupt, including but not limited to viruses, Trojan horses, worms, or other forms of malicious code.
To access certain advanced features or functionalities of the Services, you may need to register and create a user account (“Account”). During the registration process, you are required to provide accurate, current, and complete information as prompted by the registration form. You agree to update such information promptly to ensure its accuracy at all times. Failure to maintain up-to-date information may result in restricted access to the Services or termination of your Account.
You are solely responsible for safeguarding the confidentiality of your Account credentials, including but not limited to your username, password, and any authentication tokens. All activities conducted under your Account will be deemed authorized by you, and you bear full responsibility for such activities. Vertex expressly disclaims all representations and warranties, whether statutory, express, or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or reliability.
Vertex makes no representations or guarantees regarding the availability, performance, accuracy, completeness, or timeliness of the Services. Specifically, we do not warrant that:
- The Services will operate without interruption or errors.
- The Services will be free from harmful elements, including but not limited to viruses, malware, or other malicious code.
- Defects or issues identified in the Services will be corrected promptly or at all.
8. Limitation of Liability
To the fullest extent permitted by applicable law, Vertex shall not be held liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, or any other intangible losses, arising from or related to your use of, or inability to use, the Services. This limitation of liability applies regardless of whether such damages are based on contract, tort, negligence, strict liability, or any other legal theory, and even if Vertex has been advised of the possibility of such damages.
In all cases, Vertex’s total aggregate liability for any claims, damages, or losses arising out of or in connection with your use of the Services shall not exceed the total amount paid by you, if any, to access the Services.
9.Indemnification
You hereby agree to defend, indemnify, and hold harmless Vertex, including its officers, directors, employees, agents, and affiliates, from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) that arise from or relate to:
- Your breach or alleged breach of these Terms;
- Your use or misuse of the Services;
- Your violation of any applicable law or regulation;
- Your infringement or alleged infringement of any third-party rights, including intellectual property rights.
10. Termination
We reserve the right to suspend or terminate your access to the Services with reasonable prior notice, except in cases of material breaches of these Terms. This may occur for reasons including, but not limited to, your breach of these Terms, violation of applicable laws, or any conduct that we deem harmful to the Services or our interests. In such cases, termination or suspension may include the immediate deactivation or deletion of your account and the forfeiture of any associated data. Upon termination, all rights and licenses granted to you under these Terms will cease immediately. You remain liable for any obligations incurred before the termination, and all provisions of these Terms that, by their nature, should survive termination shall continue in effect.

It is your responsibility to review these Terms periodically to stay informed of any changes. By continuing to access or use the Services after modifications are posted, you acknowledge and accept the revised Terms as binding.
12.Governing Law and Dispute Resolution
These Terms and any disputes or claims arising out of or in connection with them shall be governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict of laws principles.
You agree that any legal action or proceeding arising under or related to these Terms shall be brought exclusively in the courts of Hong Kong, and you hereby irrevocably submit to the jurisdiction of such courts for such purposes.
